By engaging Firefly Web Labs for any service, you acknowledge and agree to the following terms in their entirety. We’ve written these to be as clear and straightforward as possible—because a great working relationship starts with knowing exactly where everyone stands.
Agreed To.
Engaging Firefly Web Labs—whether through a signed proposal, invoice payment, verbal agreement, email confirmation, or commencement of services—constitutes your unconditional acceptance of these Terms of Service in their entirety. If you do not agree to these terms, you may not engage our services. No service will be rendered without acceptance of these terms.
All work performed by Firefly Web Labs is defined by a mutually agreed-upon written proposal or statement of work (“SOW”). Services are limited strictly to what is outlined in that document.
- Any work outside the agreed scope constitutes a change order
- Change orders require written approval and additional payment before execution
- Verbal requests for scope changes are not binding on Firefly Web Labs
- Scope additions not formalized in writing will not be delivered
Great results require collaboration. The Client agrees to provide all necessary materials, content, approvals, and feedback in a timely manner so we can keep your project on track and on schedule.
- Content, assets, and credentials delivered per agreed timelines keep things moving
- Consolidated feedback within agreed review windows ensures quality outcomes
- Client-caused delays may result in timeline adjustments or re-scheduling fees
- Projects inactive for 30+ days due to non-response may require a re-engagement fee
Upon receipt of full and final payment, the Client receives a license to use all deliverables produced under the agreed SOW for the Client’s stated business purposes. Firefly Web Labs retains all rights to any pre-existing tools, frameworks, code libraries, and methodologies used in the delivery of work.
- Ownership transfers to Client upon receipt of final payment in full
- Firefly Web Labs may display completed work in its portfolio unless otherwise agreed in writing
- Client warrants it owns or has rights to all materials provided to Firefly Web Labs
Both parties agree to keep confidential any proprietary information exchanged during the course of the engagement. Firefly Web Labs will not disclose Client business information, strategies, or data to third parties without written consent, except as required by law. This obligation survives termination of any agreement.
Each project phase includes a defined number of revision rounds as specified in the SOW. Revisions are limited to adjustments within the original scope and do not include new features, new design directions, or fundamental requirement changes.
- Revisions beyond the allotted rounds are billed at the current hourly rate
- Client approval of a deliverable constitutes sign-off; subsequent changes are billable
- Feedback not received within an agreed review window constitutes approval to proceed
Firefly Web Labs’ total liability for any claim arising from services rendered shall not exceed the total fees paid by the Client for the specific project in dispute. Under no circumstances shall Firefly Web Labs be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or business interruption—regardless of the cause of action or the theory of liability.
Firefly Web Labs warrants that services will be performed in a professional manner consistent with industry standards. All deliverables are provided “as-is” upon approval and final payment.
- We do not warrant specific business outcomes, rankings, or conversion results
- We do not warrant compatibility with future third-party platform updates
- Post-launch maintenance is not included unless explicitly stated in the SOW
Either party may terminate a project engagement with written notice. Termination does not relieve the Client of payment obligations for work already performed.
- All fees paid prior to termination are non-refundable
- Work completed but not yet invoiced at time of termination remains billable
- Deliverables will be released once all outstanding balances are settled
- Firefly Web Labs reserves the right to end engagements involving non-payment or bad faith
In the event of a dispute, both parties agree to first attempt resolution in good faith through direct communication. If resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in the State of California under the rules of the American Arbitration Association.
- The prevailing party shall be entitled to recover reasonable attorney’s fees and costs
- Class action claims are expressly waived by the Client
- These terms are governed by the laws of the State of California
Firefly Web Labs shall not be held liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, platform outages, cyberattacks, pandemics, or other force majeure events. In such cases, timelines will be extended by a period equal to the duration of the disruption. Payment obligations are not suspended by force majeure events.
Firefly Web Labs reserves the right to update these Terms of Service at any time. Continued engagement with our services following any update constitutes acceptance of the revised terms. The most current version of these terms will always be available at fireflyweblabs.com. It is the Client’s responsibility to review these terms periodically.
Deposits.
Milestones.
Delivered.
All scoped projects require a 50% deposit before any work begins. This deposit secures your place in our production schedule and allows us to dedicate our full attention to your project from day one.
Milestone payments are due before work advances to the next phase. Final deliverables—including files, login credentials, launch access, and live deployment—are released once the final payment is received in full.
Invoices not paid within the agreed window accrue a late fee of 1.5% per month on the outstanding balance. Projects paused due to non-payment may be subject to re-engagement fees upon resumption.
Project
Gets Built.
Policy.
All payments made to Firefly Web Labs are non-refundable. This applies to deposits, milestone payments, and final payments. By submitting any payment, the Client acknowledges and accepts this policy in full.
Custom web design and development involves the immediate allocation of skilled labor, time, proprietary resources, and reserved production capacity. Once work begins, those resources have been committed on your behalf.
Unlike physical goods, custom digital work cannot be “returned.” The moment work begins—strategy, design, development, or otherwise—resources have been expended on your behalf. Those hours and that expertise cannot be reclaimed.
- Design concepts, wireframes, and strategy documents are billable upon creation
- Development time is logged and billed as incurred
- Third-party costs (hosting, licensing, software) are non-recoverable
- Production slots are reserved and cannot be easily resold on short notice
A Client may cancel a project at any time with written notice. Cancellation does not entitle the Client to a refund of amounts already paid. If work completed at the time of cancellation exceeds the deposit amount, the Client remains responsible for all additional fees incurred up to the cancellation date.
The Client agrees not to initiate a chargeback or payment dispute through any financial institution for services rendered in accordance with the agreed SOW. Initiating a chargeback for legitimate services constitutes a material breach of these terms and will result in suspension of all services.
- Firefly Web Labs will contest all chargebacks with full documentation
- Outstanding balances from reversed payments remain due and payable
- Administrative costs incurred from chargeback processing may be passed to the Client
- Firefly Web Labs reserves the right to pursue collections where necessary
